Terms of Service

2. Eligibility

You must be at least 18 years old and legally able to enter contracts in your jurisdiction to create a SponsorCal account.

3. Creator responsibilities

• You are responsible for all content published in your newsletter.
• You are responsible for the accuracy of your booking page, including pricing, slot descriptions, and your publishing schedule.
• You must connect a valid Stripe account before receiving payouts.
• You agree not to use SponsorCal to facilitate fraudulent or misleading advertising.

4. Sponsor responsibilities

• Sponsors are responsible for ensuring submitted ad content complies with applicable laws and does not infringe third-party rights.
• By submitting assets, sponsors confirm they hold the rights to any logos, copy, or creative materials included.

5. Payments

• All payments are processed via Stripe. Stripe's own terms govern payment processing.
• SponsorCal charges a 5% platform fee on each booking. The remaining 95% goes to the creator; Stripe's processing fees are borne by SponsorCal, not deducted from the creator's payout.
• Sponsors pay upfront at the time of booking.

6. Payouts

Creator payouts are processed through Stripe. Payout timing depends on the booking status, SponsorCal's payout process, Stripe's requirements, and any applicable refunds, disputes, holds, or compliance reviews. SponsorCal does not guarantee payout on a fixed date. Where SponsorCal controls payout initiation, it may postpone that action while a related refund, dispute, investigation, or legal requirement remains unresolved.

7. Refunds

• Creators may request a full refund through the SponsorCal dashboard. Refund availability depends on the booking and payment state and successful processing by Stripe, including reversal of the associated transfer. A refund request is not complete until Stripe confirms it. If automatic processing cannot be completed, manual review may be required.
• Stripe fees and balance adjustments associated with refunds are governed by Stripe's applicable terms and pricing.

8. Payment disputes

If a sponsor files a payment dispute with their card issuer, SponsorCal will notify the creator by email with booking details and the newsletter archive URL. Creators are responsible for submitting evidence to Stripe directly. SponsorCal does not guarantee dispute outcomes.

9. No guarantee of results

SponsorCal provides infrastructure. We do not guarantee that sponsorships will be booked, that sponsors will submit assets on time, or that payouts will not be disputed. The platform's performance depends on you and your sponsors.

10. Prohibited use

You may not use SponsorCal to:

• Facilitate fraudulent transactions
• Impersonate another creator or business
• Circumvent platform fees
• Process payments for any purpose prohibited by Stripe's Acceptable Use Policy

11. Suspension and termination

We may suspend or terminate accounts that violate these terms, engage in fraudulent activity, or pose a risk to other users or the platform. We will give reasonable notice before suspension where possible.

12. Limitation of liability

To the maximum extent permitted by applicable law, SponsorCal is not liable for indirect, incidental, or consequential damages arising from use of the service. Our total liability is limited to the fees paid by you to SponsorCal in the 12 months preceding the claim. This limitation does not exclude liability for death, personal injury, fraud, or any other liability that cannot be excluded under applicable law.

13. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes

We may update these terms. Continued use of SponsorCal after changes constitutes acceptance of the updated terms.
