Terms of Service

1. What SponsorCal is
SponsorCal provides booking infrastructure for newsletter sponsorships. We are not a marketplace — we do not connect you with sponsors or find advertisers on your behalf. You bring your own sponsors, set your own rates, and own your sponsor relationships. SponsorCal handles booking, payment collection, asset collection, and creator payouts.
2. Eligibility
You must be at least 18 years old and legally able to enter contracts in your jurisdiction to create a SponsorCal account.
3. Creator responsibilities
- You are responsible for all content published in your newsletter.
- You are responsible for the accuracy of your booking page, including pricing, slot descriptions, and your publishing schedule.
- You must connect a valid Stripe account before receiving payouts.
- You agree not to use SponsorCal to facilitate fraudulent or misleading advertising.
4. Sponsor responsibilities
- Sponsors are responsible for ensuring submitted ad content complies with applicable laws and does not infringe third-party rights.
- By submitting assets, sponsors confirm they hold the rights to any logos, copy, or creative materials included.
5. Payments
- All payments are processed via Stripe. Stripe's own terms govern payment processing.
- SponsorCal charges a 5% platform fee on each booking. The remaining 95% (less Stripe processing fees) goes to the creator.
- Sponsors pay upfront at the time of booking.
6. Payouts
- Payouts are initiated 7 days after the newsletter is marked as published in SponsorCal. Stripe then transfers funds to the creator's connected bank account according to Stripe's payout schedule.
- This buffer exists to handle any payment disputes before funds are transferred.
- If a Stripe dispute is filed against a booking, the payout for that booking is paused until the dispute is resolved.
7. Refunds
- Creators can issue a full refund via the SponsorCal dashboard before the payout has been triggered. Refunds cannot be processed after a payout has been initiated.
- Stripe processing fees are non-refundable and are deducted by Stripe at the time of refund. Platform fees are not refunded.
8. Payment disputes
If a sponsor files a payment dispute with their card issuer, SponsorCal will notify the creator by email with booking details and the newsletter archive URL. Creators are responsible for submitting evidence to Stripe directly. SponsorCal does not guarantee dispute outcomes.
9. No guarantee of results
SponsorCal provides infrastructure. We do not guarantee that sponsorships will be booked, that sponsors will submit assets on time, or that payouts will not be disputed. The platform's performance depends on you and your sponsors.
10. Prohibited use
You may not use SponsorCal to:
- Facilitate fraudulent transactions
- Impersonate another creator or business
- Circumvent platform fees
- Process payments for any purpose prohibited by Stripe's Acceptable Use Policy
11. Suspension and termination
We may suspend or terminate accounts that violate these terms, engage in fraudulent activity, or pose a risk to other users or the platform. We will give reasonable notice before suspension where possible.
12. Limitation of liability
To the maximum extent permitted by applicable law, SponsorCal is not liable for indirect, incidental, or consequential damages arising from use of the service. Our total liability is limited to the fees paid by you to SponsorCal in the 12 months preceding the claim. This limitation does not exclude liability for death, personal injury, fraud, or any other liability that cannot be excluded under applicable law.
13. Governing law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes
We may update these terms. Continued use of SponsorCal after changes constitutes acceptance of the updated terms.
